Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of Emberly and its related services (the "Service").

By creating an account, placing an order, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

We may update these Terms from time to time. If we make material changes, we may update the date at the top of this page and, where appropriate, provide notice through the client area or by email. Continued use of the Service after such changes means you accept the updated Terms.

2. Eligibility and Account Registration

To use the Service, you must provide accurate, current, and complete information when registering an account.

You are responsible for:

  • maintaining the security of your account
  • keeping your login credentials confidential
  • all activity that occurs under your account

You must notify us promptly if you believe your account has been accessed without authorization.

3. Services Provided

Emberly provides access to media-related services, account management tools, and related client area functionality.

The exact features of your service depend on the product or plan you purchase. We may modify, improve, or discontinue features where reasonably necessary for operational, technical, legal, or security reasons.

4. Payments, Billing, and Renewals

You agree to pay all fees associated with the services you order.

By purchasing a service, you agree that:

  • prices and billing terms shown at checkout apply to your order
  • invoices must be paid on time
  • unpaid invoices may result in suspension or termination of service
  • recurring services may renew according to the selected billing cycle unless cancelled

We may change pricing or billing terms in the future. Any such changes will apply prospectively and will not retroactively alter fees already paid.

5. Acceptable Use

You agree not to use the Service:

  • for unlawful purposes
  • to infringe the rights of others
  • to abuse, disrupt, or interfere with the Service
  • to attempt unauthorized access to systems, accounts, or infrastructure
  • to redistribute, resell, copy, or misuse the Service except where explicitly permitted
  • to use the Service in a way that creates legal, operational, or security risk for Emberly

We reserve the right to suspend or terminate access where misuse, abuse, fraud, non-payment, or legal risk is reasonably suspected.

6. Content and User Responsibility

You are solely responsible for your use of the Service and for ensuring that your activity complies with applicable laws and any required rights or permissions.

Emberly does not claim ownership of your personal content or data and may suspend or restrict access where reasonably necessary to address misuse, abuse, legal risk, or violations of these Terms.

Third-party platforms or applications used with the Service may be subject to their own terms and policies.

7. Third-Party Platforms and Integrations

The Service may interact with or rely on third-party platforms, applications, payment providers, communication tools, or media software, including but not limited to Plex, Emby, Jellyfin, Discord, or payment gateways.

We are not responsible for outages, policy changes, account actions, or functionality issues caused by third-party services.

8. Service Availability

We aim to provide a stable and reliable service, but we do not guarantee uninterrupted availability.

Access may be affected by:

  • maintenance
  • upgrades
  • security measures
  • infrastructure issues
  • third-party service failures
  • force majeure events

We may suspend access temporarily where necessary to protect users, systems, or service integrity.

9. Refunds and Cancellations

If you cancel within fourteen (14) days of the initial purchase, you may be eligible for a refund, provided the service has not been materially used, abused, or provisioned in a way that creates irreversible cost or delivery.

After fourteen (14) days from the initial purchase, payments are generally non-refundable.

If your service is cancelled, access will normally continue until the end of the current billing period unless the account is suspended or terminated for misuse, abuse, fraud, non-payment, or violation of these Terms.

If a payment is made in error or in excess, we may, at our discretion, issue account credit instead of a refund.

10. Suspension and Termination

We may suspend, restrict, or terminate your access to the Service if:

  • you violate these Terms
  • payment is overdue
  • your use creates legal or security risk
  • we are required to do so for technical, operational, or legal reasons

Termination or suspension does not remove your obligation to pay outstanding amounts owed.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, to the fullest extent permitted by law.

We make no warranty that:

  • the Service will be uninterrupted or error-free
  • the Service will meet every specific expectation or use case
  • third-party integrations will remain available or unchanged

12. Limitation of Liability

To the fullest extent permitted by law, Emberly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, goodwill, or service availability arising from or related to your use of the Service.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.
